Terms and Conditions
Standard terms governing the engagement of our IT engineering services, proprietary software platforms, and website access.
Summary of Key Terms
By browsing sysencore.com, requesting quotations, or engaging SysEncore for custom engineering or software licensing (CoreCapture, CoreMoniTrack, MedCore Pro), you agree to be bound by these Terms and Conditions and Malaysian statutory law.
1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute an agreement between you or the entity you represent ("Client", "User") and SysEncore ("we", "us", "our"), a technology engineering studio operating in Malaysia. By accessing our website, purchasing software licenses, or signing project Statements of Work (SOW), you confirm that you have read, understood, and agreed to be governed by these Terms and the Malaysian Contracts Act 1950.
2. Scope of Services & Engagements
SysEncore delivers enterprise technology solutions across three core pillars:
- Custom Engineering & IT Consultancy: Bespoke web applications, mobile apps (iOS/Android/Flutter), cloud infrastructure, and legacy modernization governed by specific project SOWs and acceptance criteria.
- Proprietary Software Licensing: Deployment, provisioning, and access to commercial software products including CoreCapture (screen recording), CoreMoniTrack (productivity telemetry), and MedCore Pro (clinical appointment management).
- Managed Cloud & Hosting: Domain provisioning, SSL configuration, server orchestration, and routine backup management.
3. Intellectual Property Rights
We maintain clear and equitable intellectual property standards:
- Client Deliverables: Upon full and final settlement of agreed project milestone invoices, all custom source code, assets, and designs specifically developed for the Client transfer entirely to the Client.
- SysEncore Background IP & Products: SysEncore retains sole and exclusive worldwide ownership, patents, trademarks, and copyright in our proprietary platforms (CoreCapture, CoreMoniTrack, MedCore Pro), core libraries, frameworks, reusable components, and website branding. No decompilation or reverse-engineering is permitted under the Copyright Act 1987 and Computer Crimes Act 1997.
4. Commercial Payments, Invoicing & Taxes
Engagement fees, billing schedules, and currency (typically Malaysian Ringgit - MYR or US Dollars - USD) are stipulated in official project proposals and invoices:
- Milestone payments must be settled within the stated due date (standard Net 14 or Net 30 days).
- SysEncore reserves the right to suspend cloud deployments, staging environment access, or support services if undisputed invoices remain overdue.
- Clients are responsible for any statutory Malaysian taxes (e.g. Sales and Service Tax - SST) applicable to digital services.
5. Service Level Agreement (SLA) & Warranty
Unless modified by an active Enterprise Maintenance Retainer:
- Post-Launch Warranty: All custom development projects include a complimentary 30-day bug-fixing warranty covering discrepancies against agreed specifications.
- Hosting Uptime: Managed cloud instances target a 99.9% network availability benchmark, excluding scheduled maintenance windows or third-party upstream ISP disruptions.
6. Confidentiality & Non-Disclosure
Both parties agree to protect and treat all technical specifications, customer records, database schemata, and commercial details as strictly Confidential Information. This confidentiality obligation survives termination of the engagement for a minimum period of 3 years.
7. Limitation of Liability
To the fullest extent permitted by Malaysian law, SysEncore shall not be liable for any indirect, consequential, punitive, or special damages, including lost revenue, loss of business opportunity, or data interruption. In any event, SysEncore's total aggregate liability arising out of any service engagement shall not exceed the total fees actually received by SysEncore from the Client for the specific deliverable giving rise to the claim within the preceding 6-month period.
8. Governing Law & Dispute Resolution
These Terms shall be interpreted, governed, and construed in accordance with the substantive laws of Malaysia. Any dispute, controversy, or claim arising under or relating to these Terms that cannot be resolved amicably within 30 days shall be submitted to the non-exclusive jurisdiction of the courts of Malaysia sitting in Kuala Lumpur.
